01Accepting these terms
NiagaKira is operated by ForgeDevs Sdn. Bhd. (Registration No. 202601021013 (1683110-W)), a private company limited by shares incorporated in Malaysia, with its registered address at Unit 11-3A, 3rd Mile Square, No. 151, Jalan Klang Lama, Batu 3 1/2, 58100 Kuala Lumpur, Wilayah Persekutuan, Malaysia (“ForgeDevs”, “we”, “us”).
By creating an account or using the NiagaKira app or website (together, “NiagaKira” or the “Service”), you agree to these terms. If you do not agree, do not use NiagaKira. You must be at least 18 years old and able to enter into a binding contract.
If you use NiagaKira on behalf of a business, you confirm that you have authority to accept these terms for that business, and “you” includes the business. Our Privacy Policy explains how we handle personal data; it is a notice issued under Malaysian data protection law and sits alongside these terms.
02About NiagaKira
NiagaKira is a mobile-first tool that helps owner-run micro and small businesses record income and expenses, scan receipts, organise financial records and understand their financial position. You record what happens in the business; NiagaKira organises it into structured records and shows you a picture of the month.
NiagaKira is not a bank, lender, payment provider, investment platform, financial adviser, accountant or tax filing service. It does not hold or move your money, and it does not connect to your bank or POS system.
NiagaKira is in early access. Some features are still being built, and the Service may change as it develops. Features described as planned or in development are not part of the Service until they are released.
03Accounts, business workspaces and authorised users
Your personal account identifies you. Give us accurate information when you sign up, keep it up to date, and keep your sign-in details private. You are responsible for activity under your account. Tell us at hello@forgedevs.my as soon as you become aware of any unauthorised use.
Business workspaces hold a business's records. A workspace can have one or more owners and may include other authorised users, with access that depends on their role. Owners are responsible for who they add to a workspace and for ensuring those users follow these terms. The number of workspaces and users available to you depends on your plan.
04Your records and responsibilities
The records in NiagaKira are built from what you and your authorised users enter and confirm. NiagaKira cannot know about transactions that have not been recorded and cannot verify that what was recorded is correct. The completeness and accuracy of your records is your responsibility.
You remain responsible for your business's statutory record-keeping, tax and reporting obligations, and for keeping original documents where the law or your accountant requires them. NiagaKira helps you keep organised records; it does not discharge those obligations for you.
You agree to use NiagaKira only for lawful business purposes and in compliance with the laws that apply to you.
05Receipt scanning and suggestions
NiagaKira can read receipts you scan and suggest the amount, date, merchant and category. It can also recognise merchants you have recorded before and suggest categories. These features save time, but they are not always correct and may fail to read a receipt at all.
Nothing is saved to your records until you confirm it. The record you confirm is the authoritative one, and by confirming a suggested detail you take responsibility for it as if you had entered it yourself.
06No professional advice
NiagaKira provides software and information, not advice. Nothing in the Service is accounting, tax, financial, investment or legal advice, and it is not a substitute for a qualified accountant, auditor, tax agent or lawyer who knows your situation. Dashboard figures are calculated from the records you have entered, are for your own understanding, and are not audited financial statements. Seek professional advice before making decisions where the outcome matters.
07Early access and subscriptions
Free pilot
NiagaKira is currently offered to selected pilot users without subscription charges. Your access is governed by the pilot or early-access arrangement you joined under. You will not be charged for NiagaKira without first agreeing to a paid plan.
Future paid plans
We may introduce paid subscription plans. Before you buy one, we will tell you the price, billing period, renewal terms, how to cancel and any refund conditions. Purchases made through the Apple App Store or Google Play are also subject to that store's terms. Taking part in the free pilot does not enrol you in a paid plan; if paid plans become required, we will tell you in advance and explain the transition.
When a paid subscription expires
If a paid subscription ends and is not renewed, the business workspace it covered stays available in read-only mode for 90 days from the end of the paid term. During that time you can review and export the workspace's records and renew to restore full access. Renewing cancels the expiry process. If the subscription is still inactive after 90 days, the workspace and its records become eligible for permanent deletion, which we may carry out after giving reasonable advance notice. Your personal account is not deleted because a subscription expired.
This 90-day period applies only to expired paid subscriptions. It does not apply to free pilot users, and it does not limit your right to request deletion of your account or workspace at any time.
08Your data: ownership, export and deletion
The records, receipts and other content entered into a workspace belong to you or to the business that owns the workspace, subject to the access arrangements the business has set. You give us permission to store, process and display that content only as needed to provide the Service, as described in the Privacy Policy.
You can export a workspace's transaction records as a CSV file. The export covers transaction records; it may not include receipt images or every document in the workspace. We recommend exporting regularly and before any deletion.
You can delete your personal account, a business workspace, or both, from within the app or through niagakira.forgedevs.my/delete-account. Deleting a personal account does not delete a workspace shared with other users; a sole owner must delete or transfer the workspace first. Once a request is verified and confirmed, we process the deletion, normally within seven (7) working days, and once completed it generally cannot be reversed, except for limited information we are legitimately or legally required to keep. We are not obliged to keep your business records after deletion.
09Acceptable use
You must not:
- Use NiagaKira for anything unlawful, including to record or conceal fraudulent transactions.
- Upload content that infringes someone else's rights or that you do not have the right to use.
- Try to gain unauthorised access to the Service, other accounts or our systems, or interfere with how the Service works.
- Copy, reverse engineer or systematically extract the Service's software, design or content, except where the law allows.
- Resell, sublicense or offer the Service to others as your own.
10Intellectual property and licence
NiagaKira, including its software, design, name and logo, belongs to ForgeDevs Sdn. Bhd. We grant you a limited, non-exclusive, non-transferable licence to use the app and website for your business's internal purposes in line with these terms. We may use feedback you give us to improve NiagaKira without owing you anything for it.
11Third-party services
NiagaKira relies on third-party services, such as cloud hosting, databases, sign-in and receipt text recognition, to work. The app is distributed through the Apple App Store and Google Play, whose terms also apply to your download. Those services may experience interruptions beyond our reasonable control, and we are not responsible for services we do not control, including the spreadsheet applications you open exports in.
12Availability and changes to the Service
We work to keep NiagaKira available, but we cannot promise it will always be uninterrupted or error-free, particularly during early access. We may change, add or remove features, and we may take the Service down for maintenance. Where a change materially reduces what NiagaKira does for you, we will try to give you reasonable notice.
13Suspension and termination
We may suspend or close your account if you seriously or repeatedly break these terms, if we are required to by law, or if continuing would create a security risk. Where reasonable, we will tell you why and give you a chance to export your records. You can stop using NiagaKira at any time by deleting your account.
14Disclaimers
To the extent permitted by law, NiagaKira is provided “as is” and “as available”. We do not guarantee that:
- the Service will be uninterrupted or error-free;
- receipt scanning, merchant recognition, category suggestions or other automated features will be accurate or complete;
- dashboard figures or reports will be accurate where records are incomplete or incorrect;
- using NiagaKira will produce any particular profit, cash-flow outcome, regulatory compliance or business decision.
These disclaimers do not exclude responsibilities we cannot exclude under Malaysian law, including rights you may have under consumer protection legislation.
15Limitation of liability
To the extent permitted by law, ForgeDevs is not liable for indirect, incidental, special or consequential losses, including lost profits, lost business, or penalties or fines arising from decisions made using information in NiagaKira or from records that were entered or confirmed inaccurately.
For claims that the law allows us to limit, our total liability to you for all claims arising in connection with NiagaKira is limited to the greater of RM100 and the total fees you paid for a NiagaKira subscription in the three months immediately before the event giving rise to the claim.
Nothing in these terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under Malaysian law.
16Third-party claims
If a third party brings a claim against ForgeDevs because of content you uploaded unlawfully, your infringement of someone else's intellectual property, or your use of the Service in breach of these terms, you agree to cover the reasonable losses and costs we incur from that claim, to the extent it was caused by your breach. We will tell you about any such claim promptly and will not settle it in a way that imposes obligations on you without consulting you.
17Changes to these terms
We may revise these terms to reflect changes in the Service, our business or applicable requirements. Updated terms will be published here with their effective date. For material changes affecting your rights or obligations, we will give reasonable advance notice in the app, by email or through another reasonable channel, and where the law requires your explicit agreement we will ask for it separately.
To the extent permitted by law, continuing to use NiagaKira after updated terms take effect means you accept them. If you do not agree, you can stop using the Service and delete your account, subject to any subscription arrangements then in place. Changes do not take away rights you have already accrued or protections the law does not allow us to exclude.
18Governing law and disputes
These terms are governed by the laws of Malaysia. If you have a problem, please contact us first at hello@forgedevs.my; most issues can be resolved directly. Disputes that cannot be resolved this way are subject to the jurisdiction of the courts of Malaysia. Nothing in this section prevents you from exercising rights under applicable consumer protection law or raising a complaint with a relevant authority. If any part of these terms is found to be unenforceable, the rest continues to apply.
